HCP may pay LifeLabs by:
- Credit Card
- Online – www.lifelabs.com
- Phone – contact Accounts Receivable at 1-888-265-5227
- Cheque/Mondy Order or
- EFT – contact Accounts Receivable at 1-888-265-5227.
If HCP does not pay the invoiced amount by the due date, at LifeLabs sole discretion,LifeLabs may do any or all of the following:
- Charge interest on the outstanding amount at the rate of 2% per month.
- Require HCP to pay for future Services in advance or
- Cease performance of the Services completely.
Reference ranges accompanying the patient report are deemed to be correct and should be used to interpret results. Changes to test methodology, reference ranges, and equipment platform, for the test(s) are not considered a change of service. Either LifeLabs or HCP may change the level of service upon thirty (30) days written notice to the other party.
All data and information not already in the public domain, developed or disclosed, that is the property of LifeLabs will be kept in secrecy and confidence by HCP. For greater certainty, LifeLabs prices are confidential, and HCP will not disclose, without the express written consent of LifeLabs, the prices to any person other than to its patients. LifeLabs and HCP acknowledge that the collection, use and disclosure of personal health information pursuant to this arrangement between LifeLabs and HCP shall be managed in accordance with applicable laws regarding privacy of personal health information.
HCP will disclose in advance of the Effective Date whether the services are subject to regulation by applicable law, rule, statute, regulation, or guidance document applicable to HCP and HCP’s business and operations (the Regulatory Requirements”), and that also impose compliance obligations on LifeLabs due to the nature and scope of the services, so that LifeLabs may review and determine compliance.
HCP is responsible for providing LifeLabs with updates to Regulatory Requirements affecting the services after the Effective Date. HCP acknowledges and agrees that it shall not require LifeLabs to perform services subject to Regulatory Requirements without first notifying LifeLabs in writing so that LifeLabs may determine whether it can meet such Regulatory Requirements. In the event that services are subject to Regulatory Requirements that HCP has not disclosed to LifeLabs, HCP assumes all risk associated with services and shall defend, indemnify, and hold harmless LifeLabs against same.
In the event that Regulatory Requirements change during the term of this Contract, LifeLabs may terminate this Contract in accordance with Section, Term and Termination below.
The term of this Contract shall commence on the Effective Date and shall continue, unless terminated earlier in accordance with the provisions of this Contract. Either party may terminate this Contract for convenience upon sixty (60) days written notice to the other party.
This Contract may be terminated immediately for cause or material breach by the other party where such cause or material breach is not remedied to the reasonable satisfaction of the terminating party within thirty (30) days after written notice has been given by the terminating party.
In the event that the services become subject to Regulatory Requirements that LifeLabs cannot comply with, LifeLabs may terminate this Contract, effective immediately.
If the account is inactive for twenty-four (24) months or more, LifeLabs may at its option terminate this Contract by providing a written notice of termination.
Neither party shall be liable to the other for any costs, loss, damages, including profits, as a result of the termination. HCP is responsible for payment of all fees associated with the account before termination date.
LifeLabs shall continuously provide and maintain for themselves Commercial General Liability Insurance and Medical Malpractice Insurance with policy limits not less than $2,000,000 per occurrence.
Any waiver of, or consent to depart from, the requirements of any provision of this Contract shall be effective only if it is in writing and signed by the party giving it and only in the specific instance and for the specific purpose for which it has been given.
HCP shall not make any public announcement about its relationship with LifeLabs, the existence of this Contract or the subject matter of this Contract without the express written consent of LifeLabs. HCP shall not orally or in any written format use LifeLabs’ name in advertising or other promotional materials without LifeLabs’ prior written approval, which approval may be withheld for any or no reason.
HCP acknowledges that the trademarks and any intellectual property related to the tests are owned by their respective owners. This Contract does not grant to the HCP any ownership or license rights or other interest in the tests, trademarks or related intellectual property.
This Contract shall be governed by and construed in accordance with the applicable laws of Canada and the laws of the province from which this Contract is issued by LifeLabs.
